会員規約
（本規約の適用範囲）
第１条 本規約は、ユニバーサル ミュージック合同会社（以下「ユニバーサル ミュージック」といいます）が提供するアーティスト別・ 楽曲ジャンル別等のニュースレター（以下「本サービス」といいます）の会員（以下「会員」といいます）又は会員になろうとする方（以下「入会希望者」といいます）に、本サービスの利用等に関して、共通して適用されます。
（入会契約の申込）
第２条 本サービスは、会員のみが利用することができます。本サービスへの入会手続きを行った入会希望者は、本規約を承諾 したものとみなされます。
（入会）
第３条 入会希望者は、本サービス所定の入会申し込み手続きを行った時点で、会員になることができます。
ただし、ユニバーサル ミュージックは、入会希望者が以下の項目に該当する場合、会員資格を与えない場合があります。
（１）入会希望者について過去に本規約違反等により、会員資格の取消し等が行われている場合。
（２）申込内容に虚偽、誤記又は記入もれがあった場合。
（３）その他、ユニバーサル ミュージックが入会希望者を会員とすることにつき不適当と判断する場合。
（提供するサービス）
第４条 会員は、随時、無償で本サービスを利用する事ができます。このサービスは、当面、電子メールマガジン（またはニュースレター）の配信などを予定していますが、具体的なサービス内容や提供するコンテンツの内容は、ユニバーサル ミュージックに一任させていただきます。また、別途事前にユニバーサル ミュージックが会員との間で合意したものについては、有料での提供となる場合があります。
２ 本サービスのシステムの保守を行う場合その他ユニバーサル ミュージックの都合により、予告なしにコンテンツの変更、中止、廃止を行なう場合があります。会員は、予めこれを承諾するとともに、ユニバーサル ミュージックに対し、会員又は第三者が被ったいかなる損害について、理由を問わず一切の責任の追及を行なわないものとします。
３ 会員は、本サービスを個人的に楽しむ以外の目的で利用しないものとします。
（禁止事項）
第５条 会員は、本サービスの利用にあたって、以下の行為を行わないものとします。
（１）他者（他の会員、ユニバーサル ミュージック及び第三者を含みます。以下同じ）を誹謗中傷する行為。
（２）他者の著作権、財産若しくはプライバシー又はその他の権利を侵害する行為（これらを侵害するおそれのある行為を含みます）。
（３）公序良俗又はユニバーサル ミュージックの企業理念に反するとユニバーサル ミュージックが判断する行為（人種・性等による差別、児童虐待などに該当するものを含みます）。
（４）宗教、政治（選挙活動を含みます）、性風俗に関する活動。
（５）犯罪的行為、又は犯罪的行為に結び付く行為、もしくはそのおそれのある行為。
（６）営利を目的とした行為。
（７）コンピュータウィルス等の有害なプログラムを、本サービスを通じて、又は本サービスに関連して使用し、もしくは提供する行為。
（８）その他、本規約、法令に違反し、又は違反するおそれのある行為。
（９）その他、ユニバーサル ミュージックが合理的根拠に基づき不適切と合理的に判断する行為。
２ 前項に該当する会員の行為によってユニバーサル ミュージック又は第三者に損害が生じた場合、会員資格を喪失した後であっても、会員はすべての法的責任を負うものとし、ユニバーサル ミュージックに迷惑をかけないものとします。
３ ユニバーサル ミュージックが第1項に該当すると判断した行為を発見した場合、ユニバーサル ミュージックは、ユニバーサル ミュージックが適当と判断する対応をとることができます。
（本規約の見直し・変更等）
第６条 本規約の見直し・変更等は、必要に応じ、ユニバーサル ミュージックが随時その裁量で行なうものとします。この場合、ユニバーサル ミュージックは、変更後の規約をホームページ内に掲載するものとし、特に定めの無い限り、掲載した時点をもって本規約の当該変更等は効力を発生します。
（ハードウェア等の用意）
第７条 本サービスを利用するために必要な、ＰＣ等のハードウェア、ソフトウェア等は、会員が用意するものとします。
（ID及びパスワードの管理・使用等）
第８条 会員は、本サービスの利用に当たって、パスワードの使用を求める場合があります。 その場合、下記にご留意下さい。
（１）ユーザID及びパスワードを第三者に利用させたり、複数人での共有・共用、貸与、譲渡、名義変更、売買、質入その他の処分をしては ならないものとします。
（２）ユーザID及びパスワードの管理不十分、使用上の過誤、第三者の使用等により損害が発生した場合、その責任は、会員が負うものとし、ユニバーサル ミュージックは一切責任を負いません。会員は、責任をもってユーザID及びパスワードを管理するものとし、会員以外の者に使用される事のないよう、十分留意するものとします。
（３）会員は、ユーザID及びパスワードが盗まれたり、第三者に使用されていることを知ったりした場合には、直ちにユニバーサル ミュージックにその旨を連絡するものとします。
（個人情報等の取り扱い）
第９条
本サービスを通じて、ユニバーサル ミュージックが会員及び入会希望者から収集し、又は会員及び入会希望者がユニバーサル ミュージックに提供する情報のユニバーサル ミュージックの取り扱い方法等については、ユニバーサル ミュージックが別途定めるプライバシーポリシー（以下「プライバシーポリシー」といいます。）が適用されます。会員及び入会希望者は、プライバシーポリシーに同意した上で本サービスを利用するものとします。
（通知エラー）
第10条 ユニバーサル ミュージックから会員への通知は、原則として、会員宛て電子メールにより一回のみ行われるものとし、会員への通知が完了したものとみなします。また、電子メールの配信の際、登録されたメールアドレスに対して連続した未着エラーが発生した場合は、それ以降、会員に対し電子メールの配信を取り止める場合があります。
（提供情報の変更等）
第11条 会員は、ユニバーサル ミュージックに届け出た内容に変更があった場合には、速やかに所定の手続きにより、変更内容をユニバーサル ミュージックに通知するものとします。爾後も同様とします。
２ 会員は、前項の届出を怠った場合に、ユニバーサル ミュージックからの通知が不到達となっても、異議を申し述べません。
（退会）
第12条 会員は、いつでも退会することができます。その場合、会員は、所定の手続きによりその旨をユニバーサル ミュージックに届け出るものとします。
（会員資格の中断・取消）
第13条 会員が以下の項目に該当する場合、ユニバーサル ミュージックは、当該会員に対して何ら事前に通知することなく、直ちに当該会員の会員資格を 中断または取り消すことができるものとします。
（１）手段を問わず、本サービスの運営を妨害した場合。
（２）その他、会員として不適切とユニバーサル ミュージックが合理的根拠に基づき合理的に判断した場合。
（権利の帰属）
第14条 本サービスを構成するすべてのプログラム、ソフトウェア、サービス、手続き、商標、商号その他の構成物に関する著作権、著作隣接権、商標権その他一切の権利は、ユニバーサル ミュージック又はその指定する者に帰属します。会員は、本サービスの提供を受けた事によって、これらの権利のライセンスその他本規約第４条第３項に定める以外の目的での使用その他の許諾を受けたとはみなされないものとします。
２ 会員が本サービス上にアップロードした情報又はファイルについて著作権その他何らかの知的財産権又はその他の権利が発生する場合は、当該権利はユニバーサル ミュージックが専有するものとし、各会員は当該権利を一切保有せず、また、当該権利に関してなんらの権利も行使しないものとします。
（ソフトウェアに関する制限）
第15条 会員は、ユニバーサル ミュージックが提供するソフトウェアすべてにおいて、譲渡、売却その他の処分又は改造、変造その他の改変を行ってはならないものとします。会員は、ユニバーサル ミュージックが当該ソフトウエアについて使用中止、返却、消去等の要請を行ったときは、その要請に従うものとします。
（免責）
第16条 ユニバーサル ミュージックは、本サービスの内容及び会員が本サービスを通じて得る情報等について、その完全性、正確性、確実性、有用性等のいかなる保証も行わないものとします。
２ 本サービスの提供、遅滞、変更、中断、中止、停止、もしくは廃止、本サービスを通じて登録、提供される情報等の流失もしくは消失等、又はその他本サービスに関連して発生した入会希望者、会員又は第三者の損害について、ユニバーサル ミュージックは一切責任を負わないものとします。
（管轄裁判所）
第17条 本サービスに関連して入会希望者又は会員とユニバーサル ミュージックとの間で紛争が生じた場合の第一審の専属管轄裁判所は、事案の金額等に応じ、東京地方裁判所または東京簡易裁判所とします。

Newsletter Membership Terms
Membership Terms
Article 1 (Scope of Terms)
These Newsletter Membership Terms (“Terms”) shall apply commonly to members of the newsletter services provided by Universal Music LLC (“Universal Music”) categorized by artist, music genre and other element (“Service”)(such members shall be referred to as the “Member(s)”) and individuals who wish to be Members (“Prospective Member(s)”) with respect to use of the Service and other related matters.
Article 2 (Application for Membership)
The Service is available only to the Members. A Prospective Member who completes the membership application procedures for the Service shall be deemed to have accepted these Terms.
Article 3 (Enrollment)
A Prospective Member shall be entitled to become a Member upon completing the membership application procedures prescribed for the Service. Notwithstanding the foregoing, Universal Music may refuse to grant membership to a Prospective Member, if the Prospective Member falls under any of the following:
(1) if the membership of the Prospective Member was canceled or revoked in the past due to a breach of these Terms or for other reasons;
(2) if the application by the Prospective Member contains false information, errors, or omissions; or
(3) In addition to the above, if Universal Music deems that the Prospective Member is unsuitable for a Member.
Article 4 (Service Provided)
1. Members shall be entitled to use the Service at any time free of charge. While Universal Music currently plans that the Service includes transmission of email newsletters, Universal Music has the sole discretion to determine the specific details of the services and the contents provided in the Service. Further, Universal Music may provide a certain service for a fee, to which Universal Music agrees with the Members separately and in advance.
2. Universal Music may change, suspend or abolish a certain content without any prior notice, in case of system maintenance for the Service or for other reasons of Universal Music. Members acknowledge and agree to such possibility of change, suspension or abolishment in advance and shall not make any claims or pursue legal responsibilities against Universal Music for any damage incurred by the Members or a third party, regardless of the reasons.
3. Members shall not use the Service for any purposes other than personal enjoyment.
Article 5 (Prohibition)
1. Members shall not conduct any of the following in using the Service:
(1) any act to defame or slander others (including other Members, Universal Music, and third parties; hereinafter the same);
(2) any act to infringe upon copyrights, property, privacy, or other rights of others (including acts that may infringe upon any of these rights);
(3) any acts that Universal Music deems contrary to public order or morals or the corporate philosophy (including acts corresponding to discrimination based on race, gender or others, child abuse and others) of Universal Music;
(4) any activities in relation to religions, politics (including election campaigns), or sexual customs;
(5) any criminal acts, acts leading to criminal acts, or any other acts that may lead to any of these acts;
(6) any acts for commercial purposes;
(7) any acts to use or provide harmful programs such as computer viruses through or in relation to the Service;
(8) any other acts that violate or may violate these Terms, laws or regulations; or
(9) any other acts that Universal Music reasonably deems inappropriate based on reasonable grounds.
2. The Member, even after disqualification or loss of the membership, shall bear all legal responsibilities for any damage incurred by Universal Music or a third party arising out of any act of a Member under any item under Article 5.1, and shall defend and hold Universal Music harmless from such damage.
3. If Universal Music finds an act that Universal Music deems to fall under any item under Article 5.1, Universal Music shall be entitled to take appropriate measures as Universal Music deems appropriate.
Article 6 (Review and Amendment of Terms)
Universal Music shall be entitled to review and amend these Terms as necessary, at the discretion of Universal Music, from time to time. In such case, Universal Music will post the amended terms on its website, and unless otherwise specified, such amendments to these Terms shall become effective upon such posting.
Article 7 (Preparation of Hardware and Others)
Members shall prepare hardware, software and others, such as PCs, necessary to use the Service.
Article 8 (Management and Use of ID and Password)
Members may be required to use a password in using the Service. In such case, Members shall note the following:
(1) A Member shall not allow any third parties to use his/her user ID or password, or shall not share, lend, transfer, change the name of, sell, buy, pledge, or otherwise dispose of his/her user ID or password;
(2) A Member shall be responsible for any damage arising out of insufficient management of his/her user ID or password, errors in use, use by a third party or other reasons, and Universal Music shall not be held liable or responsible. A Member shall manage his/her user ID and password under his/her own responsibility and shall take sufficient precautions to prevent use of his/her user ID or password by anyone other than such Member; and
(3) If a Member becomes aware that his/her user ID and/or password is/are stolen or used by a third party, the Member shall immediately give notice to Universal Music with respect to the fact.
Article 9 (Handling of Personal Information)
The privacy policy that Universal Music separately stipulated (“Privacy Policy”) shall be applied to handling information by Universal Music collected by Universal Music from Members and Prospective Members, or provided by Members and Prospective Members to Universal Music through the Service. Members and Prospective Members shall use the Service after agreeing to the Privacy Policy.
Article 10 (Notification Errors)
Notifications from Universal Music to a Member shall, in principle, be sent only once via email from an email address to the Member and shall be deemed to have been completed upon transmission. Further, if a delivery error occurs continuously for the registered email address during email transmission, Universal Music may cease transmitting emails to the Member thereafter.
Article 11 (Changes to Provided Information)
1. The Member shall promptly give notice to Universal Music each time with respect to the change through the procedures prescribed by Universal Music, if there is any change to the information that a Member has registered to Universal Music.
2. If a Member fails to give the notice under Article 11.1, the Member shall not make any objections to Universal Music even if any notice from Universal Music does not reach the Member.
Article 12 (Withdrawal)
Any Member may withdraw from the membership at any time. In such case, a Members shall give notice to Universal Music with respect to his/her intention of withdrawal through the procedures prescribed by Universal Music.
Article 13 (Suspension/Cancellation of Membership)
If a Member falls under any of the following, Universal Music shall be entitled to immediately suspend or cancel the Member’s membership forthwith without any prior notice to the Member:
(1) If a Member interferes with operation of the Service by any means; or
(2) In addition to the above, if Universal Music reasonably deems, based on reasonable grounds, that the Member is unsuitable as a Member.
Article 14 (Attribution of Rights)
1. Any copyrights, neighboring rights, trademark rights, and any other rights in relation to any programs, software, services, procedures, trademarks, trade names, and other components or elements constituting the Service shall belong to Universal Music or its designees. Members shall not be deemed to have granted any license, by receiving the provision of the Service, for these rights or any other permissions to use for the purposes other than those stipulated under Article 4.3 of these Terms.
2. Any copyrights or other intellectual property rights or other rights arising out of or in relation to information or files uploaded to the Service by Members, if any, shall be exclusively owned by Universal Music. Members shall not own or possess any such rights or shall not exercise any rights in relation to such rights.
Article 15 (Restrictions on Software)
Members shall not transfer, assign, sell, or otherwise dispose of, or modify, alter, or otherwise change any software or in any aspects thereof provided by Universal Music. If Universal Music requests that a Member cease to use, return, or delete such software, the Member shall comply with such requests.
Article 16 (Disclaimer)
1. Universal Music makes no warranties whatsoever with respect to completeness, accuracy, reliability, usefulness, or any other aspects of the contents of the Service or information obtained by Members through the Service.
2. Universal Music shall not be liable or responsible for any damage incurred by Prospective Members, Members, or any third parties arising out of or in relation to provision, delay, change, interruption, suspension, or abolishment of the Service, leakage or loss of information registered or provided through the Service, or any other matters related to the Service.
Article 17 (Jurisdiction)
Any dispute arising out of or in relation to the Service between or among Prospective Members or Members and Universal Music shall be exclusively submitted to the Tokyo District Court or the Tokyo Summary Court of the first instance, depending on the amount of the case.
